Terms of Service

These terms govern your use of Grimoire ("the Service"), operated by Grimoire ("we", "us", "our"). By using Grimoire, you agree to these terms. If you're using Grimoire on behalf of an organization, you're agreeing on their behalf.

1. Your Content, Your Ownership

You retain full ownership of all content you create or import into Grimoire, including pages, entries, knowledge cards, and any organizational knowledge. We do not claim any intellectual property rights over your content.

You grant us a limited license to process your content solely to provide the Service — generating entries, creating embeddings, serving knowledge cards to authorized agents, and maintaining backups. This license ends when you delete your content or close your account.

We will never use your content to train AI models, build products for other customers, or any purpose beyond providing you with the Service.

2. Accounts & Access

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

Workspace administrators control access within their organization. They can invite and remove members, manage permissions across divisions, teams, and projects, and configure integrations.

You must be at least 16 years old to use Grimoire.

3. Acceptable Use

You agree not to:

  • Use Grimoire to store or distribute content that violates applicable law
  • Attempt to access other workspaces or content you are not authorized to view
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means to scrape or extract data from the Service beyond the provided APIs
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to build a competing product using substantially similar design or architecture

We may suspend accounts that violate these terms. We will notify you and provide an opportunity to remedy the situation before permanent termination, except in cases of severe or repeated violations.

4. Connected Integrations

When you connect third-party tools (GitHub, Google Drive, Notion, Confluence, Slack, etc.), you authorize Grimoire to access content from those services as configured by your workspace administrators. You are responsible for ensuring you have the right to import that content.

We access third-party services using OAuth tokens with minimum required permissions. You can revoke integration access at any time from your workspace settings.

5. AI Features & BYOK

Grimoire includes AI-powered features including the Scribe (knowledge extraction and curation), Chat (AI conversations enriched with your knowledge base), and MCP (serving knowledge cards to IDE agents).

When you use Bring Your Own Key (BYOK), your content is sent to your chosen model provider under their terms. You are responsible for reviewing those terms. Grimoire does not control how third-party model providers process data sent via your own API keys.

AI-generated content (draft entries, suggested edits, chat responses) is provided as-is. You are responsible for reviewing and approving AI-generated content before publishing it to your knowledge base.

6. Data & Privacy

Our Privacy Policy describes how we collect, use, and protect your data. It is incorporated into these terms by reference.

Key commitments:

  • Your organizational knowledge is never used to train models or improve products for other customers
  • Database-level workspace isolation prevents cross-tenant data access
  • You can export your data at any time in a standard format
  • We delete your data within 30 days of account closure

7. Pricing & Payment

Grimoire offers a free tier for small teams and paid plans for larger organizations. Pricing is published on our website and may change with 30 days' notice.

Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time. Cancellation takes effect at the end of your current billing period — we do not prorate refunds for partial periods, but we will never charge you for the next period after cancellation.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We will provide reasonable notice of planned maintenance. In the event of extended unplanned downtime, we will communicate status updates through our status page and email.

Enterprise customers may negotiate SLAs as part of their agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Grimoire's total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

These limitations do not apply to liability arising from our gross negligence, willful misconduct, or breach of our data protection commitments.

10. Indemnification

You agree to indemnify Grimoire against claims arising from your content, your use of the Service in violation of these terms, or your violation of applicable law. We will promptly notify you of any such claim and cooperate in your defense.

11. Changes to These Terms

We may update these terms from time to time. For material changes, we will notify you at least 30 days in advance via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

If you disagree with material changes, you may terminate your account before the changes take effect and we will provide a data export.

12. Termination

You may close your account at any time. We will provide a reasonable period to export your data before deletion.

We may terminate your account for material breach of these terms after providing notice and a reasonable cure period (except for severe violations). Upon termination, we delete your data per our Privacy Policy.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware.
